TERMS OF SERVICE - BISHER & PARTNERS

Effective Date: February 2026

1. Scope of Services

Bisher & Partners provides integrated advisory services across strategy, law, technology, and innovation. All engagements are governed by specific proposals or retainer agreements that define scope, deliverables, timelines, and investment terms.

These Terms of Service apply to use of our website and general commercial relationship. Specific project terms are detailed in individual engagement agreements.

2. Use of Website

All content on this website, including text, frameworks, methodologies, and visual materials, is owned by Bisher & Partners or licensed appropriately. You may not reproduce, redistribute, or repurpose any content without prior written permission.

3. Engagement Process

Discovery: Initial consultation to assess fit and understand your situation.

Proposal: Written proposal specifying scope, methodology, timeline, deliverables, and investment required.

Execution: Work proceeds upon signed agreement and initial payment as specified.

Delivery: Completion per agreed milestones with documentation and knowledge transfer.

4. Payment Terms

Project-Based Engagements: Payment terms specified in proposal (typically deposit + milestone payments or upfront payment based on project size).

Retainer Agreements: Quarterly or annual payments as specified in retainer agreement. Recurring payments processed per agreement terms.

Currency: All fees in Saudi Riyals (SAR) unless otherwise agreed.

Late Payment: Outstanding balances beyond 30 days may incur interest at 2% monthly and suspend active work until resolved.

Non-Refundable: Payments for completed work or work in progress are non-refundable. Early termination terms specified in engagement agreements.

5. Client Responsibilities

Information Access: Provide accurate information, necessary documentation, and appropriate access to systems or stakeholders.

Timely Feedback: Respond to requests for input, review deliverables, and provide feedback within agreed timeframes.

Decision Authority: Ensure individuals participating in engagement have authority to provide approvals and make decisions.

Impact of Delays: Client-caused delays may affect timeline and deliverables. Extended delays may require scope or fee adjustments.

6. Intellectual Property

Developed Work: Custom strategies, legal structures, technical implementations, and frameworks developed specifically for your engagement become your property upon full payment completion.

Bisher & Partners IP: Our methodologies, templates, processes, and general frameworks remain our intellectual property. You receive license to use outputs, not ownership of underlying methodology.

Third-Party Tools: Any third-party software, platforms, or tools remain subject to their respective licensing terms.

Confidentiality: Both parties maintain confidentiality of proprietary information exchanged during engagement per confidentiality terms in engagement agreement.

7. Work Product and Revisions

Deliverables: Scope and deliverables defined in engagement agreement. Work proceeds through agreed milestones with checkpoints for feedback.

Revisions: Standard revision rounds included per proposal. Significant scope changes or additional revision cycles may require fee adjustments.

Acceptance: Deliverables considered accepted if no material objections raised within 10 business days of delivery unless engagement agreement specifies different terms.

8. Professional Standards and Limitations

Professional Judgment: We provide advice and execute work based on professional judgment, available information, and agreed scope. We do not guarantee specific business outcomes.

No Legal Representation: While we provide legal structuring and governance advisory, engagement letters specify whether attorney-client relationship exists. General advisory does not constitute legal representation in regulatory or judicial proceedings.

Regulatory Compliance: We design for compliance based on current regulations and best practices. Regulatory changes post-delivery may require updates not covered under original engagement.

Third-Party Reliance: Our work product is prepared for client use. Third parties (investors, regulators, partners) relying on our work do so at their own discretion unless we explicitly agree to third-party reliance in writing.

9. Limitation of Liability

Direct Damages: Our liability for any engagement is limited to fees paid for that specific engagement.

Indirect Damages: We are not liable for indirect, consequential, incidental, or special damages including lost profits, lost opportunities, or business interruption.

Exceptions: Limitations do not apply to damages caused by gross negligence, willful misconduct, or breach of confidentiality obligations.

Exclusive Remedy: Refund of fees paid (where applicable) constitutes sole remedy for dissatisfaction with deliverables.

10. Termination

By Client: You may terminate engagement with written notice. Fees for work completed through termination date remain due.

By Bisher & Partners: We may terminate engagement if client breaches agreement terms, fails to provide necessary cooperation, or if continuing engagement would violate professional obligations.

Effect of Termination: Both parties return confidential information. Client receives work product completed through termination. Outstanding fees become immediately due.

11. Dispute Resolution

Governing Law: These terms and all engagements governed by laws of Kingdom of Saudi Arabia.

Negotiation: Disputes resolved through good faith negotiation before formal proceedings.

Jurisdiction: Courts of Riyadh, Saudi Arabia have exclusive jurisdiction over disputes arising from these terms or any engagement.

12. External Links and Third-Party Services

Our website may link to third-party sites, tools, or resources. We are not responsible for content, privacy practices, or terms of external sites. Use of third-party services during engagements subject to their respective terms.

13. Modifications to Terms

We may update these Terms of Service periodically. Changes posted on this page with updated effective date. Continued use of website or services after changes indicates acceptance of revised terms.

Active engagements remain governed by terms in effect when engagement agreement was signed unless both parties agree to modifications.

14. General Provisions

Entire Agreement: Engagement agreement plus these Terms of Service constitute entire agreement for services. Oral statements or prior communications do not modify terms.

Severability: If any provision deemed unenforceable, remaining provisions remain in effect.

Assignment: You may not assign rights or obligations without our written consent. We may assign to affiliated entities or in connection with business transfer.

Waiver: Failure to enforce any provision does not waive right to enforce subsequently.
